OPERATION MICROFINANCE COMPETITION PARTICIPATION TERMS
NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN
By participating in the Competition, each Participant (defined below) unconditionally accepts and agrees to comply with and abide by these "Participation Terms" and the decisions of the Promoter, which will be final and binding in all respects.
This Competition is Promoted by Credit Suisse Business Analytics (India) Private Limited (the "Promoter"), a private limited company incorporated under the provisions of the Companies Act, 1956 and having its registered office at Citypark, Central Avenue, Hiranandani Business Park, Powai, Mumbai 400 076, Maharashtra, India. The Promoter along with its associates and affiliates is referred as "Credit Suisse."
1. COMPETITION TIMING:
The Operation Microfinance Competition (the "Competition") is a skill-based competition on the subject of microfinance. The Competition shall consist of a registration period and three (3) rounds (each, a "Round"). Registration shall begin on July 26, 2013 at 6:30pm India Standard Time, and will end on August 15, 2013 at 11:59 pm, India Standard Time ("Registration Period").
Note that Participants from Sardar Patel Institute of Technology, Veermata Jijabai Technological Institute and Indian Statistical Institute, Kolkata only will follow a different registration methodology. Please email the Promoter at campus.recruitment-ap@credit-suisse.com by 12:00 midnight India Standard Time on August 6, 2013 to express your interest in participating, and Promoter will email you instructions about how to register. Registration for Participants from these schools only will open on August 8, 2013 at 6:30pm India Standard Time, and will close on August 15, 2013 at 11:59pm, India Standard Time.
Round 1 shall begin on August 15, 2013 at 6:30pm India Standard Time, and end on August 29, 2013 at 11:59 pm, India Standard Time ("Round 1"). Round 1 will consist of participation in a microfinance game called the Operation Microfinance Game ("Game"). Participants register for and participate in Round 1 on an individual basis. The Competition will include a Semi-Final round, consisting of students who scored in the top 40 of the Game ("Round 2"). Each Participant participating in the Semi-Final round will be asked to produce a short, 2-3 minute video presentation, answering a question about the microfinance industry. A committee of Credit Suisse employees will review the videos and will select 15 students to participate in an in-person Finals Competition in Mumbai (as defined below). Participants will be randomly assigned to teams to compete in the Finals Competition ("Round 3"). The Promoter will notify Semi-Finalists and Finalists of the times and dates of Rounds 2 and 3 in accordance with these Participation Terms. The Promoter's or its agent's database clock will be the official time keeper for this Competition.
ELIGIBILITY:
The Competition is open only to individuals who fulfill all of the following requirements (each a "Participant"):
(i) Penultimate year students enrolled in a full-time undergraduate or full-time graduate program in one of the degree disciplines listed below:
- Master of Business Administration (MBA) - 2 year program
- Master of Computer Application (MCA) - 3 year program
- Master of Science (MSc) - 2 year program
- Master of Engineering (ME) - 2 year program
- Master of Management Studies (MMS) / Master of Management (MM) - 2 year program
- Master of Statistics
- Master of Technology (MTech) - 2 year program
- Bachelor of Engineering (BE) - 4 year program
- Bachelor of Technology (B Tech) - 4 year program
- Dual Degree - 5 year program
- Integrated Degree programs (MSc / MTech/ MBA) – 5 year program
- Post graduate diploma programs (Business Administration / Business Management) - 2 year program
(ii) Due to graduate in the year of 2015; and
(iii) Enrolled at one of the colleges or universities based in India listed below:
- Indian Institute of Technology Bombay
- Indian Institute of Technology Madras
- Indian Institute of Technology Kanpur
- Indian Institute of Technology Kharagpur
- Birla Institute of Technology and Science Pilani
- National Institute of Technology Trichy
- National Institute of Technology Karnataka Surathkal
- Sardar Patel Institute of Technology
- College of Engineering Pune
- Veermata Jijabai Technological Institute
- Symbiosis Institute of Management Studies Pune
- Indian Statistical Institute, Kolkata
Individuals who do not meet the above requirements are not eligible to participate in the Competition. The Competition is not open to minors (under 18 years of age).
Employees, directors and officers (and immediate family members (including but not limited to spouses, parents, grandparents, in-laws, children, siblings and their spouses, regardless of where they reside) and household members (whether related or not) of such employees, directors and officers) of Promoter, TMP Worldwide Advertising & Communications, LLC and their parent companies, divisions, affiliates, subsidiaries, franchisees, agents and/or their advertising, promotion and/or fulfillment agencies (collectively, the "Released Parties") are not eligible to participate. This Competition is subject to all applicable laws and regulations.
Participation in the Competition shall in no way signify a contractual relationship between a Participant and the Promoter or any of its affiliates and under no circumstances shall it result in an employee-employer relationship or constitute an application for employment with the Promoter or any of its affiliates.
3. GAME OVERVIEW:
While playing the Game, you will learn how microfinance can improve the lives of small business people, who are called Microentrepreneurs. You will also learn about Credit Suisse, its businesses and commitment to corporate responsibility—all while competing against other Participant(s) for the chance to win exciting prizes.
During Round 1, Participants will participate in the Game. During the Game, each individual Participant will take on the role of a microfinance loan officer for a local microfinance institution. Participants will be required to make loan decisions about 10 different Microentrepreneurs (each an "Entrepreneur") in the virtual village. Each Participant will be faced with various banking and investment decisions related to the Entrepreneurs. For example, Participants will have the opportunity to decide whether to provide the Entrepreneurs with loans (each a "Loan"). If a Participant decides to provide a Loan to an Entrepreneur, such Participant will be able to choose one (1) of three (3) types of Loans to be provided to such Entrepreneur. Participants can earn points based on choosing the correct loan product and terms for each Entrepreneur and answering in the shortest amount of time ("Loan Decision Points").
Participants will answer questions after each loan decision and can earn points by answering correctly and in the shortest amount of time. The questions are called "Did You Know" questions and are trivia questions about the microfinance industry and Credit Suisse's corporate responsibility initiatives. The points are called "Did You Know Points". These questions have been drafted from source material provided to the Participants.
In addition, throughout the Game, randomized real-life scenarios will impact the Entrepreneurs, their villages, or both. The random events are called ‘Goodwill Decisions', and they impact the microfinance institution the Participants work for in the Game, the village, and the villagers. Participants can earn or lose ‘Goodwill Decision Points' by their responses to these scenarios and must respond within twenty-four (24) hours to participate in the particular Goodwill Decision.
Each Participant's effectiveness as a loan officer will be determined by the lending decisions they make involving his or her Entrepreneurs, his or her knowledge of the industry through the questions, and how he or she responds to Goodwill Decisions.

4. PERSONAL DATA:
The information you provide to the Promoter in connection with the Competition, including all personal data contained in your registration and any information or submissions provided in the course of participating in the Competition ("Personal Information"), is collected for the purpose of (i) evaluating your participation in the Competition, assessing whether you should be given the opportunit(ies) to proceed on to Round 2 and/or Round 3 of the Competition and/or be awarded any Award, (ii) administering this Competition and (iii) facilitating the Promoter's recruiting efforts. You agree that the Promoter may reproduce and disseminate your Personal Information to authorized personnel within Credit Suisse and/or to any external third party or contractor or agent of Credit Suisse for the aforementioned purposes or any purpose ancillary or incidental thereto as the Promoter may deem fit. You further acknowledge and hereby consent to your Personal Information being transferred and processed outside of your country. An indicative list of the names and addresses of entities which may collect or retain the information provided by you has been made available for your reference at https://www.credit-suisse.com/in/legal/doc/data_privacy.pdf. You also agree that the Promoter shall have the right to add or replace any of such persons. In the event you have any queries or objections in relation to any of the aforesaid, you shall bring the same to the attention of the Promoter in writing.
By registering for the Competition, you acknowledge and agree that:
- The information security practices and standard implemented by the Promoter (summary of which is made available at https://www.credit-suisse.com/privacy/en/) are adequate and reasonable and are designed to protect your Personal Information;
- Such information securities practices and standards are consistently evolving and the Promoter shall have right to change or replace the same from time to time, at its sole discretion;
- Notwithstanding anything to the contrary contained in this document or any other agreement or document executed by you, the publication of such changed or replaced practices and procedures in the manner aforesaid shall be deemed to have been read and understood by you; and
- In the event that the Personal Information provided by you to the Promoter contains any third party sensitive personal data or information, you hereby confirm that you have obtained all necessary consents or authorizations from the concerned third party for (i) such disclosure, and (ii) further disclosure of such information by the Promoter to other third parties in connection with the aforementioned purpose or any purpose ancillary or incidental thereto.
Participants have a right of access to modify and withdraw their Personal Information. They also have the right to oppose the collection of certain of their Personal Information in certain locations and under certain circumstances. To exercise such right or in order to request to no longer receive information regarding the Promoter's employment opportunities, send an email to: campus.recruiting@credit-suisse.com. Should the participant withdraw his or her Personal Information prior to the conclusion of the Competition, the Participant's registration may become void at the discretion of the Promoter, where permitted by law, for the efficient administration of the Competition.
5. HOW TO PARTICIPATE:
A. Registration:
To register during the Registration Period, visit www.credit-suisse.com/opsmicrofinance and follow the directions to provide the following information about you: your first/legal name; last/family name; your country of study; your current university; your current university expected graduation date; your current university email address; your primary email address (if university address is not primary); your current university degree; your current university degree subject/major/concentration; whether or not you plan to apply to Credit Suisse for a position; and the business areas that you are interested in at Credit Suisse.
Note that Participants from Sardar Patel Institute of Technology, Veermata Jijabai Technological Institute and Indian Statistical Institute, Kolkata only will follow a different registration methodology. You will be required to create a username and password when you register. Note that each Participant must play the Game on an individual basis, and may not play in a team. Each Participant must register and play the Game separately. Once you have completed the registration form, you will see a note that your email is pending confirmation. Go to your email inbox and find the message from Credit Suisse asking you to confirm your address. Click the link to confirm that the address is correct. You may be asked to log in to your account. There is a limit of one (1) registration and one (1) account per person and per email address. Registrations received from any person or email address in excess of the stated limitation will be void and all associated accounts will be terminated. All registrations must be completed by the end of the Registration Period in order to be eligible to participate in this Competition.
B. Round 1 & Determination of Semi-Finalists:
During Round 1, visit www.credit-suisse.com/opsmicrofinance and follow the directions provided to participate in the Game. During Round 1, you will receive various email communications regarding your participation in the Game. You may log into your account at www.credit-suisse.com/opsmicrofinance at any time during Round 1 to participate in the Game. At the end of Round 1, each Participant's score ("Score") will be calculated as follows:
Total Score = Total Points received from each Microentrepreneur (Loan Decision Points + Did You Know Points) + Goodwill points
The top forty (40) Participants with the highest scores will be determined to be the "Semi-Finalists", subject to verification of eligibility and compliance with these Participation Terms. In the event of a tie, the Promoter reserves the right to hold a tie-breaker challenge to be determined by the Promoter in its sole discretion and/or to review the materials requested under section 5C (including, without limitation, university transcript or equivalent, GPA, and CV). Scoring will be determined by three tiebreakers (in order of importance):
- Accuracy (number of questions answered correctly);
- Volume (number of questions answered); and
- Speed of the questions answered.
The tiebreakers will function in order of importance. If players are tied in accuracy (number correct), the volume criteria will determine the winner. If players are still tied after the second criteria, the speed of answering questions will be the final tiebreaker. The Promoter reserves the right not to select any Semi-Finalists or to advance fewer than forty (40) Semi-Finalists to Round 2 if, in its sole discretion, it determines that a sufficient number of eligible and qualified Participants have not participated in Round 1.
C. Round 2 & Determination of Finalists:
All Semi-Finalists will receive an email from the Promoter containing instructions about how to participate in Round 2. The email will provide instructions as how to create a video to answer a question that they must provide a solution in the form of a video to by the date and time specified by the Promoter. During Round 2, all Semi-Finalists will be required to follow the directions provided by the Promoter to (i) submit a copy of their university transcripts or equivalent, their GPA and a copy of their CV; and (ii) their video submission providing a solution to the question by the date and time specified by the Promoter via email. The university transcripts or equivalent, GPA, CV and video submitted by Semi-Finalists in connection with their participation in Round 2 shall be collectively referred to herein as the "Round 2 Submission". All eligible Round 2 Submissions received by the Promoter by specified deadline will be considered and reviewed by a panel of the Promoter representatives based on a variety of factors, including without limitation, academic and professional achievement, quality of video and answer to the proposed question, presentation skills, and other factors determined by the Promoter in its sole discretion to determine up to fifteen (15) "Finalists", subject to verification of eligibility and compliance with these Participation Terms. All Finalists must be available to travel to the Finals Competition (details in Section 5D and Section 7 below) and participate in all travel-related activities at the locations and dates specified by the Promoter or they will be disqualified and, at the Promoter's sole discretion, the opportunity to participate in the Finals Competition may be provided to the next runner-up.
D. Round 3:
All Finalists will be required to participate in team competitions, with teams assigned randomly by the Promoter, as well as team-building activities, a site visit and networking events (collectively, the "Finals Competition"). Round 3 shall take place at a Credit Suisse location in Mumbai, India at a time and date specified by the Promoter. Each Finalist's performance, including his or her answers to any questions asked, will be collectively referred to herein as the "Round 3 Submission". All Round 3 Submissions will be considered and reviewed by a panel of Credit Suisse representatives and partners based on a variety of factors including without limitation, his or her assessment and answering of the questions asked, performance, presentation skills, and other factors determined by the Promoter in its sole discretion to select three (3) "Grand Award Recipients" and twelve (12) "Runner-up Award Recipients" (collectively, the "Award Recipients"), subject to verification of eligibility and compliance with these Participation Terms. All Grand Award Recipients should be available to attend an interview on the date and time specified by the Promoter. Otherwise, they will not be able to participate in any interview for a position in the Credit Suisse Internship Program.
General Participation Conditions: Registrations and any participation generated by script, macro or any other automated means which otherwise subverts the registration and/or participation process will be void and all associated Participants will be disqualified. In the event the Promoter suspects that a Participant has tampered with the participation process, participated in any unauthorized intervention of this Competition, or has cheated or committed any fraud in connection with this Competition, the Promoter, at its sole discretion, shall have the sole authority to disqualify that Participant.
The Promoter reserves the right, at its sole discretion, to require Finalists to submit sworn written confirmation attesting to the legitimacy and validity of any Scores and to Finalists' compliance with these Terms.
6. OWNERSHIP/USE OF MATERIALS SUBMITTED:
By submitting a video to the question provided in Round 2 and/or participating in the Finals Competition and providing written and/or verbal responses to various questions (collectively, the "Submission Materials"), each Participant agrees that the Promoter shall own the Submission Materials submitted (including the copyright thereto and all rights embodied therein) and that the Promoter and its designees may exploit, edit, modify, and distribute the Submission Materials and all elements of such Submission Materials, in any and all media now known or hereafter devised, worldwide, in perpetuity without compensation, permission or notification to participant or any third party.
7. FINALS COMPETITION DETAILS (15):
At the Promoter's sole discretion, the Finals Competition will include a two (2) day trip to Mumbai, India for the opportunity to participate in Round 3 and submit a Round 3 Submission. The Finals Competition includes standard hotel accommodations (exact occupancy and accommodations will be determined by the Promoter), air or ground transportation from a major gateway airport nearest Finalist's residence to the destination, ground transportation to and from the Finals Competition event(s), and meals. The exact itinerary of trip, including the destination, dates of travel, and other details will be determined by the Promoter in its sole discretion. The Final Competition and all elements thereof shall not constitute an award under the terms of this Competition. If any Finalist resides within a 200-mile radius of destination, the Promoter reserves the right to provide ground transportation in lieu of air transportation and no compensation or substitution will be provided for the difference in value. The actual value of the trip may vary based on points of departure and dates of travel. Any difference between any estimated value and actual value of the Finals Competition will not be provided to the Participant. The trip must be taken on the dates specified by the Promoter or the opportunity to participate in the Finals Competition will be forfeited and the Promoter will have no further obligation to such Finalist. Travel must be made through the Promoter's agent, on a carrier of the Promoter's choice. Certain travel restrictions may apply. All applicable taxes (including income and withholding taxes) and all other costs associated with the Finals Competition acceptance and use not specified herein as being provided, including luggage fees, additional ground transportation, additional meals, gratuities and souvenirs are the sole responsibility of the Finalists. Each Finalist must comply with all Finalist Competition guidelines, rules and regulations, and any other requirements set forth by the Promoter in connection with the Finalist Competition opportunity. Failure to do so may result in disqualification. Finalists may not substitute, assign or transfer the Finals Competition opportunity or redeem the Finals Competition opportunity (or any element thereof) for cash, but the Promoter reserves the right, at its sole discretion, to substitute any element of the Finals Competition opportunity (or portion thereof) with an item of comparable or greater value. All details of the Finals Competition are at the Promoter's sole discretion. Each Finalist who participates in the Finals Competition may be videotaped and/or recorded during his or her participation (collectively, "Finals Footage"). The Finals Footage, if taken, will be owned by the Promoter, who has the right to use, edit, adapt, post, stream, copy and exploit such Finals Footage and all elements embodied therein, including any names and likenesses embodied therein, in any and all media now known or hereafter devised worldwide, in perpetuity, for advertising, promotional, trade and other purposes, without further compensation, notification or permission, subject to applicable laws and regulations.
8. NOTIFICATION (FOR SEMI-FINALISTS, FINALISTS & AWARD RECIPIENTS):
Potential Semi-Finalists will be notified by email and/or phone.
Potential Finalists will be notified by e-mail or phone and will be required to complete, execute and return (i) an Affidavit of Eligibility (or, a Certificate, Declaration of Eligibility or other equivalent of such document), a Liability and Publicity Release (subject to applicable laws and regulations); and (ii) any other documents required by the Promoter, which must be returned by the date specified by the Promoter.
Potential Award Recipients will be notified at the end of Round 3 during the Finals Competition and by telephone, mail and/or email and may be required to complete additional documents and agreements if required by the Promoter, which must be returned by the date specified by the Promoter.
Semi-Finalists and/or Finalists may be required by Promoter to submit proof of their birth date for verification purposes. Return of any notification as undeliverable, failure to sign and return requested documentation within the specified time period, the inability of the Promoter to contact a potential Semi-Finalist, Finalist and/or Award Recipient (as applicable) within the time period specified by the Promoter or noncompliance with these Participation Terms by any potential Semi-Finalist, Finalist and/or Award Recipient will result in disqualification and, at the Promoter's sole discretion, an alternate Semi-Finalist or Finalist may be notified.
9. AWARDS ("Awards"):
Grand Award (3) ("Grand Award"):
The Grand Award Recipients (3) will be awarded a cash prize of Rs. 100,000/- (Rupees One Lakh Only), a Samsung GALAXY Tab 2 P3110, Pure White, Wi-Fi, 16 GB, and an opportunity to interview for a summer internship position at Credit Suisse in India ("Credit Suisse Internship Program"). The Grand Award Recipient should be available to attend an interview, either by phone or in person, on the date and time specified by the Promoter. Acceptance of the Grand Award shall in no way signify a contractual relationship between the Promoter or any of its affiliates. The opportunity to interview for a position in the Credit Suisse Internship Program is not a guarantee that the Grand Award Recipient will be offered a position with Credit Suisse or any of its affiliates. An offer of a position in the Credit Suisse Internship Program should not be construed as a guarantee or commitment of any ongoing employment with Credit Suisse. Grand Award Recipients will not be given any special privileges or preferences during the interview process, but will be reviewed for an internship position based on Credit Suisse standard review and application process for internship program participants. All applicable taxes (including income and withholding taxes) and all other costs associated with Grand Award acceptance and use not specified herein as being provided by the Promoter are the sole responsibility of the Grand Award Recipients. Grand Award(s) may be awarded subject to deductions for tax purposes. The Promoter reserves the right, at its sole discretion, to substitute any element of the Grand Award (or portion thereof) with an item of comparable or greater value. All details of the Grand Award are at the Promoter's sole discretion.
Second Award (12):
Samsung GALAXY Tab 2 P3110, Pure White, Wi-Fi, 16 GB.
General Award Conditions:
All applicable taxes (including income and withholding taxes) and all other costs associated with Award acceptance and use not specified herein as being provided are the sole responsibility of the Award Recipients including, without limitation, any costs associated with clearing any check. Awards may be awarded subject to deductions for tax purposes. Awards are provided "as is" with no warranty or guarantee, either express or implied by the Promoter. Service plan is not included with Samsung GALAXY Tab. GALAXY Tab is a trademark of Samsung. Samsung does not sponsor, endorse, or promote this Competition. Award Recipients may not substitute, assign or transfer any Award (or any element thereof) for cash, but the Promoter reserves the right, at its sole discretion, to substitute an Award (or portion thereof) with one of comparable or greater value.
10. GENERAL CONDITIONS:
By participating, each Participant agrees: (a) Released Parties shall not be responsible for any and all injuries, liability, losses and damages of any kind to persons, including death, or property resulting, in whole or in part, directly or indirectly, from his or her participation in the Competition, the acceptance, possession, use or misuse of any Award (except to the extent that such liability cannot be excluded by law, any personal injury or death is caused by the Released Parties' gross negligence or breach of these Participation Terms) or the use by the Promoter or its designees of any materials submitted or component thereof; and (b) if selected as an Award Recipient and/or a Finalist, to the use of his or her name, voice, performance, photograph or video, image and/or likeness for advertising, publicity and promotional purposes in any and all media, now or hereafter known, worldwide and on the Internet, and in perpetuity by the Promoter and its designees, without compensation (to the extent permitted by law) or additional consents from Participant or any third party and without prior notice, approval or inspection, and to execute prior written consent to such use if asked to do so. Lack of consent does not prevent an Award Recipient from receiving an Award. By participating, Participant also agrees not to release any publicity or other materials on their own or through someone else regarding their participation in the Competition without the prior consent of the Promoter, which it may withhold in its sole discretion. Each Participant agrees that he or she will take all steps reasonably necessary to ensure that he or she complies with these Participation Terms; and if the Participant fails to comply, or if the Promoter is unable or unwilling to enforce compliance, Participant agrees to indemnify and hold the Promoter harmless from and against any and all liability, claims, judgments, costs, demands and expenses (including legal fees) arising directly or indirectly from the Participant's lack of compliance.
11. RELEASE OF LIABILITY:
Except where prohibited by law, Released Parties are not responsible for lost, late, incomplete, damaged, inaccurate, stolen, delayed, misdirected, undelivered, or garbled Entries, votes, comments or emails; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Competition, including, without limitation, errors or difficulties which may occur in connection with the administration of the Competition or the Game, the malfunctioning of the Game, the cancellation or postponement of any Finals Competition, the incorrect calculation or tabulation of Scores and/or Points, the processing or review of Round 1 participation and Round 2 and 3 Submissions, the announcement of the Awards, or in any Competition-related materials. Except where prohibited by law, Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Competition. Released Parties are not responsible for injury or damage to any person's computer related to or resulting from participating in this Competition or downloading materials from or use of the website.
By submitting the Submission Materials, each Participant agrees that the Promoter bears no responsibility for the contents of the Submission Materials. In particular, each Participant warrants that:
- The content of the Submission Materials is original and does not infringe any copyright;
- The content of the Submission Materials does not contain any defamatory statement, offensive and/or illegal material, politically sensitive or offensive content, or contain any content which may infringe the legal rights of any third party relating to privacy, reputation, image, name and other rights of personality as protected by relevant Indian laws and regulations;
- The content of the Submission Materials do not disclose or contain any state secret, and is not in breach of any confidentiality obligation under any applicable law or contracts;
- Any views or opinions presented in the Submission Materials are solely those of the Participant and do not represent the position or views of Credit Suisse Group.
12. MISCELLANEOUS:
Persons who tamper with, abuse or undermine the integrity of any aspect of the Competition or website, who act in an unsportsmanlike or disruptive manner or who are in violation of these Participation Terms, as solely determined by the Promoter, will be disqualified and all associated Participation, including Scores and Points and Round 1 participation and Round 2 and 3 Submissions, will be void. Further, to the extent that any Participant engages in the conduct described in the preceding sentence and thereafter applies for and/or obtains employment with the Promoter, such conduct may, in the Promoter's sole and exclusive discretion, result in the denial of such application and/or termination of such employment, subject to and to the extent permitted by applicable law and regulations. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE COMPETITION MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND REGULATIONS AND SHOULD SUCH AN ATTEMPT BE MADE, THE PROMOTER RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING LEGAL COSTS) FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION. In the event of a dispute regarding claimed participation from multiple users having the same e-mail account, the authorized subscriber of the e-mail account at the time of participation will be deemed to be the Participant and must comply with these Participation Terms. Authorized account subscriber is the natural person who is assigned the e-mail address by the Internet Service Provider (ISP), on-line service provider, or other organization responsible for assigning e-mail addresses.
13. RIGHT TO SUSPEND MODIFY OR TERMINATE THE COMPETITION:
Should any portion of the Competition be, in the Promoter's sole opinion, compromised by virus, worms, bugs, non-authorized human intervention, force majeure, or other causes which, in the sole opinion of the Promoter, corrupt or impair the administration, security, fairness or proper play of the Game, the making of Round 2 or Round 3 Submissions, or the participation in any other portion of this Competition, or if any action, regulation, orders or requests by any governmental or quasi-governmental entity requires the suspension, modification or termination of the Competition (or any portion thereof), the Promoter reserves the right at its sole discretion to suspend, modify or terminate the Competition (or portion thereof), disqualify any suspect Scores and Round 2 and Round 3 Submissions. Notwithstanding the above, the Promoter retains its sole absolute discretion in organizing the Competition, including its decision to change these Participation Terms, including any Awards offered, and cancel the Competition without notice, and its decision shall be final and not subject to challenge.
14. CHOICE OF LAW AND PLACE OF JURISDICTION:
This Competition and any dispute of any sort that might arise between Participant and the Promoter shall be governed by and construed in accordance with the laws of India.
Any dispute arising out of or in connection with these Participation Terms, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration under the LCIA India Arbitration Rules, which Rules are deemed to be incorporated by reference into this clause. The number of arbitrators shall be one. The seat or legal place of arbitration shall be Mumbai, India. The language to be used in the arbitration shall be English. This arbitration agreement shall be governed and construed under the laws of India.
If any provision of these Participation Terms is invalid under the law, rules or regulations of a particular jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions.
15. COUNTRY SPECIFIC NOTES:
If any provision of these Participation Terms is invalid under the law, rules or regulations of any country, it will only apply to the extent permitted. In addition, Participants are required to abide by the applicable laws, rules and regulations of their countries and jurisdictions of residence as they may pertain to participation in this Competition.
